These Terms govern access to and use of the Sendiee platform. Read them carefully — they include important provisions about subscription billing, refunds, acceptable use, data ownership and limitation of liability.
Agreement to terms
These Terms of Service (“Terms”) govern your use of the Sendiee platform, the website sendiee.com, and any related services (collectively, the “Services”) provided by Sendiee Technologies Pvt. Ltd. (“Sendiee”, “we”, “our”), an Official Meta Tech Partner registered in India.
By creating an account, accessing or using the Services, you (“Customer”) agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent and warrant that you have authority to bind that organisation.
Definitions
- Account — your Sendiee tenant, including dashboards, users, contacts, and configuration.
- AI Wallet — the prepaid balance used to bill AI chatbot conversations on a pay-per-use basis.
- End User — the customer of a Customer, with whom messages are exchanged through the Services.
- Meta Charges — fees Meta charges directly for WhatsApp template conversations (marketing, utility, authentication). Sendiee adds 0% markup.
- Plan — the subscription tier you select (Growth, Pro, Business or Enterprise).
Account & eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services. You agree to provide accurate registration information and to keep it up to date.
You are responsible for safeguarding your account credentials and for any activity under your account. We recommend enabling two-factor authentication for all team members.
Subscriptions, billing & wallet
Plans are available on monthly, quarterly and yearly billing cycles in INR or USD. Subscriptions auto-renew at the end of each cycle unless cancelled. We will email a renewal reminder before each charge.
AI chatbot conversations are billed separately from the AI Wallet on a pay-per-use basis. Wallet recharges are non-refundable and do not expire while your account is active.
Meta Charges are paid by you directly to Meta as part of your WhatsApp Business Account. Sendiee does not mark up these fees.
No refunds. Subscription fees are non-refundable except where required by law. We recommend evaluating Sendiee using the freemium tier or a guided demo before committing.
Acceptable use
You agree not to use the Services to:
- Send unsolicited messages or otherwise violate Meta's WhatsApp / Instagram / Messenger policies;
- Transmit unlawful, harmful, defamatory, harassing, or fraudulent content;
- Reverse-engineer, decompile or attempt to extract source code or model weights;
- Probe, scan or test the vulnerability of any Sendiee system without prior written consent;
- Use the Services to compete with Sendiee or build a competing product;
- Resell access to the Services without entering our Partner Program.
We reserve the right to suspend or terminate accounts that violate these rules or that put platform integrity at risk.
Customer data & privacy
You retain ownership of all Customer Data, including conversations, contacts and media exchanged through the Services. We process Customer Data on your behalf, as a data processor, in accordance with our Privacy Policy and Data Processing Addendum.
Sendiee will not access Customer Data except as required to provide and improve the Services, comply with law, or with your explicit instruction.
Intellectual property
The Services, including all software, designs, trademarks and content provided by Sendiee (excluding Customer Data), are the exclusive property of Sendiee and its licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Services for the duration of your subscription.
Third-party platforms
The Services rely on third-party platforms including Meta (WhatsApp, Instagram, Messenger), payment processors (Razorpay, Stripe), AI providers (OpenAI, Anthropic, Google) and others.
Your use of these platforms is governed by their respective terms. Sendiee is not responsible for outages, policy changes, or actions taken by these third parties.
Service levels & support
We aim to keep the Services available 99.9% of the time, calculated monthly, excluding scheduled maintenance and force majeure. Specific SLAs and credits apply to Enterprise customers under a separate agreement.
Standard support is provided via email and WhatsApp on all plans. Pro and above include 1:1 onboarding. Enterprise plans include 24/7 support and a dedicated account manager.
Suspension & termination
You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing cycle.
We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees when due, or if continuing access poses a security or legal risk. Upon termination, we will return or delete Customer Data per the DPA.
Disclaimer of warranties
The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Sendiee disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.
Limitation of liability
To the fullest extent permitted by law, Sendiee's aggregate liability arising out of or in connection with these Terms shall not exceed the fees paid by you in the twelve (12) months preceding the event giving rise to the claim. In no event shall Sendiee be liable for indirect, incidental, special, consequential or punitive damages.
Indemnification
You agree to indemnify and hold Sendiee harmless from any third-party claim arising from (a) your use of the Services in breach of these Terms, (b) Customer Data, (c) violation of applicable law, or (d) infringement of third-party rights.
Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email and via an in-app banner at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
Governing law
These Terms are governed by the laws of India. Disputes will be resolved exclusively in the courts of Tiruppur, Tamil Nadu. Enterprise customers may negotiate a different governing law and venue in their order form.
